Terms of Service

These terms are the agreement between you and Milistack for your use of Militime. Please read them carefully — by creating an account or using Militime, you agree to them.
1. Agreement
These Terms of Service (the “Terms”) govern your access to and use of the Militime application and website (the “Service”), provided by Milistack (“Militime,” “we,” “us”). If you use the Service on behalf of an organization, you represent that you are authorized to bind that organization, and “you” refers to that organization.
2. Accounts and eligibility
You must be at least 18 years old and able to form a binding contract. You are responsible for the activity under your account and for keeping your sign-in credentials secure. Notify us promptly of any unauthorized use.
3. Subscriptions, trial and billing
- Free trial. New workspaces may start with a 14-day free trial. We may require a payment method to begin the trial.
- Pricing. The Service is offered as a single plan priced per seat: $12.99 for the first seat and $3.99 for each additional seat, per month, in USD. A “seat” is an active member of your workspace.
- Proration. When you add or remove seats, charges are prorated and reconciled on your next invoice.
- Payment. Subscriptions are billed monthly in advance through our payment processor (Stripe). You authorize us to charge your payment method for all fees due.
- Taxes. Fees are exclusive of taxes; you are responsible for any applicable taxes other than taxes on our income.
- Renewal & cancellation. Subscriptions renew automatically until cancelled. You can cancel anytime; access continues until the end of the current paid period, after which the workspace becomes read-only.
- Refunds. Except where required by law, fees are non-refundable.
- Price changes. We may change pricing on reasonable prior notice, effective at your next renewal.
4. Your data and responsibilities
You retain all rights to the content and data you put into the Service (“Customer Data”), including information about your own clients, projects and staff. You grant us a limited licence to host, process and display Customer Data solely to provide and support the Service.
You are responsible for your Customer Data and for having the necessary rights and consents to provide it to us. With respect to personal information about your clients or staff that you enter, you act as the person responsible for that information and we act as your service provider; you are responsible for complying with applicable privacy laws (including providing notices and obtaining consent where required).
5. Acceptable use
You agree not to:
- break the law or infringe others’ rights using the Service;
- upload malicious code, or attempt to gain unauthorized access to the Service or other accounts;
- probe, scan, overload or disrupt the Service, or circumvent usage limits or security;
- resell, sublicense or provide the Service to third parties except as intended; or
- use the Service to store or transmit content you have no right to.
6. AI features
The Service may offer optional AI-generated summaries and suggestions. These outputs are generated automatically, may be inaccurate or incomplete, and are provided for convenience only. They are not professional, legal, financial, tax or accounting advice. You are responsible for reviewing outputs before relying on them.
7. Invoicing and tax disclaimer
The Service helps you generate invoices and apply tax rates (such as TPS/TVQ) that you configure. Militime is not an accountant or tax advisor. You are solely responsible for the accuracy of rates, the correctness of invoices, and your tax and regulatory compliance.
8. Intellectual property
The Service, including its software, design and content (excluding Customer Data), is owned by Milistack and its licensors and is protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable right to use the Service during your subscription, subject to these Terms. All rights not granted are reserved.
9. Third-party services
The Service relies on third parties (e.g. Stripe for payments, Supabase and Vercel for infrastructure). Your use of those features may be subject to their terms. We are not responsible for third-party services.
10. Disclaimer of warranties
The Service is provided “as is” and “as available” without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the Service will be uninterrupted, error-free or fully secure. Some jurisdictions do not allow certain disclaimers, so some of the above may not apply to you.
11. Limitation of liability
To the maximum extent permitted by law, Milistack will not be liable for any indirect, incidental, special, consequential or punitive damages, or any loss of profits, revenue, data or goodwill. Our total liability for any claim relating to the Service will not exceed the amounts you paid us for the Service in the 12 months before the event giving rise to the claim.
12. Indemnification
You agree to indemnify and hold harmless Milistack from claims, damages and expenses arising out of your Customer Data, your use of the Service, or your breach of these Terms, to the extent permitted by law.
13. Term, suspension and termination
These Terms apply while you use the Service. You may stop at any time. We may suspend or terminate access if you materially breach these Terms, fail to pay, or to protect the Service or other users. On termination, your right to use the Service ends; you may export your Customer Data for a reasonable period, after which we may delete it in accordance with our Privacy Policy.
14. Changes to the Service or Terms
We may modify the Service and these Terms from time to time. For material changes to the Terms, we will provide reasonable notice (e.g. by email or in-app). Continued use after changes take effect constitutes acceptance.
15. Governing law and language
These Terms are governed by the laws of the Province of Quebec, Canada and the federal laws of Canada applicable there, without regard to conflict-of-law rules. The courts located in Quebec have exclusive jurisdiction over any dispute, subject to any mandatory consumer-protection rights you may have.
The parties have requested that these Terms and all related documents be drawn up in English. Les parties ont demandé que cette convention et tous les documents qui s’y rattachent soient rédigés en anglais.
16. General
If any provision is found unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger or sale. These Terms, together with the Privacy Policy, are the entire agreement between you and us regarding the Service.
